Terms of Service

These Terms of Service govern your use of CoShop, an online multi-vendor grocery marketplace operated by Autoflow Technology INC. (“we”, “our”, or “the Company”), a company registered in Nova Scotia, Canada. By creating an account or placing an order, you agree to these terms.
1. About CoShop
CoShop is a marketplace platform that connects customers with local grocery stores, farmers, and food vendors in their community. We provide the technology that lets vendors list their products and customers place orders — we are not the seller of any goods listed on the platform.
Each vendor is an independent business responsible for the products they list, their accuracy, pricing, and fulfillment.
2. Eligibility and Accounts
You must be at least 18 years old and capable of entering into a binding contract to use CoShop. By registering, you confirm this is true.
You are responsible for keeping your account credentials secure. Do not share your password. If you suspect unauthorized access to your account, contact us immediately at coshopns@gmail.com.
You may only hold one account per person or business. We reserve the right to suspend or terminate accounts that violate these terms.
3. For Customers
Ordering
When you place an order on CoShop, you are entering into a purchase agreement directly with the vendor, not with Autoflow Technology INC. We process your order information and pass it to the relevant vendor(s) for fulfillment.
Orders placed in a single checkout may be split across multiple vendors. Each vendor fulfills their portion independently.
Pickup Only
CoShop currently supports in-person pickup only. There is no shipping or delivery service. After placing an order, the vendor will confirm it and let you know when it is ready for pickup at their location.
Pricing and Tax
Prices are set by each vendor and may change at any time. The price shown at checkout is the price you pay. Applicable taxes are calculated and displayed before you confirm your order.
Cancellations and Refunds
Cancellation and refund policies are set by each individual vendor. Contact the vendor directly if you need to cancel or request a refund. Autoflow Technology INC. is not responsible for disputes between customers and vendors regarding refunds or order quality.
4. For Vendors
Registration and Listings
Vendors may register on CoShop to list and sell their products. By registering as a vendor, you represent that you have the legal right to sell the products you list and that all product information (descriptions, prices, photos, ingredients) is accurate and up-to-date.
Vendor Responsibilities
- Ensure your products comply with all applicable Canadian food safety, labelling, and health regulations.
- Keep your product listings accurate — remove products you can no longer supply.
- Fulfil confirmed orders promptly and communicate pickup details clearly to customers.
- Maintain your own refund and cancellation policy and handle customer disputes directly.
- Set tax rates accurately for your products in accordance with applicable Canadian tax law.
Payouts
CoShop currently operates with manual payouts. Payment collection and transfer to vendors is handled outside the platform during this early stage. By registering as a vendor, you acknowledge and accept this arrangement. Payout terms will be agreed upon directly between you and Autoflow Technology INC.
Group Buy
Vendors may optionally enable group-buy pricing on their products. During an active group-buy window, all orders for that product are charged the group price. Minimum order quantities (MOQ) are shown as a progress goal only — they are not enforced as a gate. No automatic refunds are issued based on MOQ outcomes.
5. Prohibited Conduct
You must not use CoShop to:
- List or sell products that are illegal in Canada or Nova Scotia, including regulated substances or items requiring licences you do not hold.
- Provide false, misleading, or fraudulent product information.
- Attempt to manipulate prices, orders, or reviews through fraudulent means.
- Harvest or scrape user data, or attempt to access accounts that are not yours.
- Use the platform in any way that violates applicable law or infringes the rights of others.
We reserve the right to remove listings and suspend accounts that violate these rules without prior notice.
6. Intellectual Property
The CoShop platform, including its design, code, and branding, is owned by Autoflow Technology INC. You may not copy, reproduce, or distribute any part of the platform without our written permission.
When you upload product photos, recipes, or other content to CoShop, you retain ownership of that content. You grant Autoflow Technology INC. a non-exclusive, royalty-free licence to display that content on the platform for the purpose of operating the marketplace.
7. Disclaimers
CoShop is provided “as is”. We do not guarantee that the platform will be available at all times or free from errors. We are not responsible for the accuracy of vendor listings, product quality, or the actions of any vendor or customer on the platform.
We do not review or approve vendor product listings before they are published. If you encounter a listing that is illegal, inaccurate, or harmful, please contact us at coshopns@gmail.com.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Autoflow Technology INC. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of CoShop, including but not limited to disputes between customers and vendors, order fulfilment failures, or product quality issues.
Our total liability to you for any claim arising from your use of the platform shall not exceed the amount you paid in the transaction giving rise to the claim.
9. Governing Law
These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Nova Scotia.
10. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Continued use of CoShop after changes are posted constitutes your acceptance of the updated Terms.
For significant changes, we will make reasonable efforts to notify registered users by email.
